1. Agreement to Terms

Welcome to the Sora Hub Technology Ltd Affiliate Program ("the Program"). By registering as an affiliate, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not participate in the Program.

These Terms constitute a legally binding agreement between you ("Affiliate," "you," or "your") and Sora Hub Technology Ltd ("Company," "we," "us," or "our").

2. Affiliate Program Overview

The Sora Hub Technology Ltd Affiliate Program allows registered affiliates to earn commissions by referring customers to our products and services. Affiliates receive a unique affiliate code that tracks referrals and generates commissions based on successful customer transactions.

3. Account Registration and Approval

3.1 Registration Requirements

To become an affiliate, you must:

• Provide accurate and complete registration information
• Be at least 18 years of age
• Have a valid email address and phone number
• Agree to these Terms and Conditions and our Privacy Policy

3.2 Account Approval

All affiliate accounts are subject to administrative approval:

• Your account will be in "pending" status until approved by an administrator
• You will receive an SMS notification when your account is approved
• We reserve the right to reject any application at our sole discretion
• Approved accounts may be suspended or terminated for violation of these Terms

3.3 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

4. Commission Structure

4.1 Commission Types

Affiliates can choose between two commission types for each product:

4.2 Commission Calculation

Commissions are calculated as follows:

• Formula: Commission Amount = Transaction Amount × Commission Percentage
• Example (One-Time): Customer pays KES 1,000 with 40% commission = KES 400 commission
• Example (Recurring): Customer pays KES 1,000 monthly with 5% commission = KES 50 per month (up to 12 months = KES 600 total)

4.3 Commission Settings

Each affiliate can customize commission preferences per product:

• Choose commission type (one-time or recurring) for each product
• Set custom commission percentages (subject to product limits)
• Settings can be changed before the first customer referral for that product
• Important: Once you have referred your first customer for a product, commission settings are locked and cannot be changed for that product

5. Commission Maturity and Payouts

5.1 Commission Maturity Period

All commissions are subject to a 30-day maturity period:

• Pending Balance: New commissions are held in "Pending" status for 30 days
• Maturity: After 30 days from the commission creation date, commissions automatically move to "Available" status
• Purpose: This period allows for refund processing and ensures transaction validity

5.2 Available Balance

Once commissions mature:

• Commissions move from "Pending" to "Available" balance
• Available balance is eligible for payout requests
• You can track both pending and available balances in your dashboard

5.3 Payout Process

To request a payout:

• Navigate to the Payouts section in your dashboard
• Request payout from your "Available" balance only
• Provide payment details (M-Pesa number, bank account, etc.)
• Payout requests are subject to administrative approval
• Processing time varies based on payment method and approval status

5.4 Payout Methods

We support the following payout methods:

• M-Pesa mobile money transfer
• Bank transfer (where applicable)
• Other methods as approved by the Company

6. Customer Referrals

6.1 Referral Tracking

Referrals are tracked using your unique affiliate code:

• Each affiliate receives a unique code (format: S + 5 characters, e.g., S2YX04)
• Customers must use your code during registration or purchase
• The system automatically links referrals to your account

6.2 Valid Referrals

A referral is considered valid when:

• The customer completes a paid transaction
• The transaction is successfully processed
• The customer is not already associated with another affiliate for that product
• The transaction is not a free trial or refunded payment

6.3 Duplicate Referrals

The system prevents duplicate commissions:

• Each customer transaction can only generate one commission per affiliate
• For one-time commissions, only the first payment generates commission
• For recurring commissions, each monthly payment generates commission (up to 12 months)

7. Prohibited Activities

The following activities are strictly prohibited and may result in immediate account termination and forfeiture of all commissions:

• Fraudulent Referrals: Creating fake accounts, using false information, or self-referrals
• Spam: Sending unsolicited emails or messages promoting your affiliate code
• Misrepresentation: Misrepresenting our products, services, or commission structure
• Unauthorized Use: Using our trademarks, logos, or copyrighted material without permission
• Violation of Laws: Any activity that violates applicable laws or regulations
• Circumvention: Attempting to circumvent commission tracking or system limitations

8. Refunds and Cancellations

8.1 Customer Refunds

If a customer receives a refund:

• The corresponding commission may be reversed or deducted from your balance
• Refunded commissions are deducted from your available or pending balance
• You will be notified of any commission adjustments

8.2 Account Cancellation

If your account is terminated or you cancel your participation:

• Pending commissions may be forfeited
• Available balance will be processed according to our payout policy
• You will no longer earn commissions on future referrals

9. Payment Terms

• Commissions are calculated in the currency of the transaction (typically KES)
• Minimum payout amounts may apply (check your dashboard for details)
• Payouts are processed after administrative approval
• You are responsible for any taxes on commission earnings
• We reserve the right to withhold payments if there is suspicion of fraud or violation of Terms

10. Modifications to Terms

We reserve the right to modify these Terms at any time:

• Changes will be posted on this page with an updated "Last Updated" date
• Significant changes will be communicated via SMS or email
• Continued use of the Program after changes constitutes acceptance
• If you do not agree to changes, you may terminate your account

11. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, or consequential damages
• Our total liability is limited to the amount of commissions paid to you in the 12 months preceding the claim
• We do not guarantee specific commission amounts or customer conversion rates

12. Termination

Either party may terminate this agreement:

• By You: You may terminate your account at any time through your dashboard
• By Us: We may terminate your account for violation of Terms, fraud, or at our discretion
• Upon termination, you will lose access to your affiliate dashboard
• Outstanding commissions will be processed according to our payout policy

13. Dispute Resolution

Any disputes arising from these Terms or the Program will be resolved through:

• Good faith negotiation between parties
• Mediation if negotiation fails
• Binding arbitration or court proceedings as applicable under Kenyan law
